It sets expectations, defines deliverables and protects both parties under New Zealand law.<\/p>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Unlike employees, contractors manage their own tax, provide their own tools and operate independently. But it\u2019s not enough to simply label someone a \u201ccontractor\u201d. How the relationship works in practice matters.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Contractor vs employee: key legal tests<\/h2>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">In New Zealand, employment classification is guided by four key principles:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"has-paragraph-2-m-font-size\">Intention: What did both parties agree to?<\/li>\n\n\n\n<li class=\"has-paragraph-2-m-font-size\">Control: Who decides how, when and where the work is done?<\/li>\n\n\n\n<li class=\"has-paragraph-2-m-font-size\">Integration: Is the contractor embedded in the business?<\/li>\n\n\n\n<li class=\"has-paragraph-2-m-font-size\">Economic reality: Is the contractor running their own business?<\/li>\n<\/ul>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Misclassification can be costly. If in doubt, get legal advice to help assess the working relationship and advise on the right classification.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Health and safety obligations under NZ law<\/h2>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Under New Zealand legislation, contractors are considered \u201cworkers\u201d. That means your business has a duty to ensure their health and safety, just as you would with employees.<\/p>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Use your agreement to clarify responsibilities, especially if contractors will be on-site or using business-owned equipment.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Tax, ACC and KiwiSaver obligations<\/h2>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Independent contractors are responsible for their own:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"has-paragraph-2-m-font-size\">Income tax (including provisional tax)<\/li>\n\n\n\n<li class=\"has-paragraph-2-m-font-size\">ACC levies<\/li>\n\n\n\n<li class=\"has-paragraph-2-m-font-size\">GST registration (if earning over $60,000 per year)<\/li>\n\n\n\n<li class=\"has-paragraph-2-m-font-size\">KiwiSaver contributions (optional opt-in)<\/li>\n<\/ul>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">While most contractors handle their own taxes, there are exceptions. If you&#8217;re unsure about tax obligations, our <a href=\"https:\/\/employmenthero.com\/nz\/services\/hr-advisory\/\">HR Advisory service<\/a> can help clarify them.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Essential clauses for NZ contractor agreements<\/h2>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">A strong contractor agreement should always cover the following:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Scope, deliverables and payment terms<\/h3>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Define the project, timelines, milestones and how invoices will be handled.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Intellectual property and confidentiality<\/h3>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Clarify who owns the work produced and what information must be kept confidential.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Restraint of trade and non-solicitation<\/h3>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Protect your business from contractors poaching clients, staff or intellectual property after the contract ends.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Termination, indemnity and liability<\/h3>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Include a termination clause and define responsibilities if something goes wrong.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Dispute resolution clause<\/h3>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Set out how conflicts will be resolved before they escalate into legal action.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Regulatory and compliance considerations<\/h2>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Contractor agreements must comply with New Zealand\u2019s commercial and consumer legislation, including fair contract terms and recordkeeping obligations. For smaller contracts, unfair terms may still be challenged in court.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Recordkeeping and document retention<\/h3>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">You should keep signed agreements, tax records and invoices for at least seven years.
