There are though some <a href=\"https:\/\/www.ato.gov.au\/businesses-and-organisations\/corporate-tax-measures-and-assurance\/employee-share-schemes\/employers\/types-of-ess\/concessional-ess\/start-up-concession-interests-acquired-after-30-june-2015\" rel=\"noopener noreferrer\" target=\"_blank\">advantageous incentives<\/a> designed specifically for SMBs and startups should they meet the eligibility criteria.\n\nIn summary, to qualify you need to meet the following criteria. The company cannot:\n<ul>\n<li>Be an investment company<\/li>\n<li>Have had a total turnover of over $50 million in the previous income year<\/li>\n<li>Offer preference shares<\/li>\n<li>Offer shares or options to a member of staff who already holds in excess of 10% of a company&#8217;s shares or controls more than 10% of a company vote<\/li>\n<\/ul>\nThe employee share scheme must:\n<ul>\n<li>If it&#8217;s offering options, the share price must be at least 85% of fair market value (unless eligible for the safe harbour valuation)<\/li>\n<li>If it&#8217;s offering shares in the company, it must offer them to at least 75% of your Australian resident permanent employees who have been at the company for at least 3 years<\/li>\n<li>Allow employees to sell their shares\/options either when their employment ends or after 3 years of being granted<\/li>\n<li>Follow annual reporting requirements of the <a href=\"https:\/\/www.ato.gov.au\/businesses-and-organisations\/corporate-tax-measures-and-assurance\/employee-share-schemes\/employers\" rel=\"noopener noreferrer\" target=\"_blank\">ATO<\/a>, providing a statement by 14 July each year<\/li>\n<\/ul>\nYou will also need to get your company shares valued prior to offering an ESS.
