This acronym reflects the legislation\u2019s two core functions:<\/p>\n\n\n\n<ul class=\"wp-block-list has-paragraph-2-m-font-size\">\n<li><strong>Transfer of Undertakings<\/strong> \u2013 when a business, service or function changes ownership or responsibility.<\/li>\n\n\n\n<li><strong>Protection of Employment<\/strong> \u2013 ensuring employees\u2019 contracts, pay and rights are preserved in the transfer.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">In simple terms, TUPE means that when part or all of a business is sold, outsourced or merged with another company, the employees attached to that part of the business usually transfer automatically to the new employer on the same terms and conditions. The aim of the legislation is to preserve continuity of employment and minimise disruption to staff.<\/p>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Its primary purpose is to ensure that employees\u2019 rights, pay and terms and conditions of employment are protected during a relevant transfer.<\/p>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">It\u2019s important to keep in mind that it applies to nearly all UK-based employees, including full-time, part-time and fixed-term workers.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Key points of TUPE&nbsp;<\/h3>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\"><a href=\"https:\/\/www.legislation.gov.uk\/uksi\/2006\/246\/contents\" target=\"_blank\" rel=\"noreferrer noopener\">The Transfer of Undertakings (Protection of Employment) Regulations 2006<\/a>, implements European law into UK legislation. While the legislation was introduced in 2006, the regulations have been updated by various statutory instruments to reflect changes in case law and Brexit-related adjustments.<\/p>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Some key points of transfer of undertakings protection of employment regulations include:<\/p>\n\n\n\n<ul class=\"wp-block-list has-paragraph-2-m-font-size\">\n<li><strong>Automatic Transfer:<\/strong> Employees assigned to the business or service being transferred automatically become employees of the new employer.<\/li>\n\n\n\n<li><strong>Continuity of Employment:<\/strong> The transferring employees retain their original start date and accrued benefits, including holiday entitlements and pension rights (with some exceptions).<\/li>\n\n\n\n<li><strong>Protection Against Dismissal:<\/strong> Employees may be dismissed during or after a TUPE transfer for an \u201ceconomic, technical or organisational\u201d (ETO) reason. However, employees cannot be dismissed solely because of a TUPE transfer.<\/li>\n\n\n\n<li><strong>Duty to Inform and Consult:<\/strong> Employers must provide information to affected employees and consult with them in advance of the transfer.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">It\u2019s important to keep in mind that failing to comply with TUPE can expose businesses to legal claims and significant financial penalties.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">When does TUPE apply?<\/h2>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">TUPE applies in two main types of transfers:<\/p>\n\n\n\n<ul class=\"wp-block-list has-paragraph-2-m-font-size\">\n<li><strong>Business transfers: <\/strong>When a business (or part of it) is sold, gifted or otherwise changes ownership.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\"><em>Example: Company A sells its cleaning division to Company B; employees assigned to that division transfer to Company B.<\/em><\/p>\n\n\n\n<ul class=\"wp-block-list has-paragraph-2-m-font-size\">\n<li><strong>Service provision changes: <\/strong>When a service previously carried out in-house is outsourced to a contractor, when an outsourced service is brought back in-house, or when the service is reassigned to a new contractor.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\"><em>Example: A company outsources its catering services to an external provider; the catering staff usually transfer to the contractor.<\/em><\/p>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">For TUPE to apply, the business or service being transferred must retain its identity and the employees must be \u201cassigned\u201d to the organised grouping of resources transferring.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">When doesn\u2019t TUPE apply?<\/h2>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">While TUPE is broad in scope, there are situations where it doesn\u2019t apply:<\/p>\n\n\n\n<ul class=\"wp-block-list has-paragraph-2-m-font-size\">\n<li><strong>Share transfers:<\/strong> If a company\u2019s shares are sold to a new owner but the company itself remains the same legal entity, &nbsp;transfer of undertakings protection of employment regulations aren\u2019t triggered because the employer of staff hasn\u2019t changed.<\/li>\n\n\n\n<li><strong>Asset-only sales:<\/strong> If a business sells only its equipment or premises without transferring employees or a functioning service, it usually doesn\u2019t apply.<\/li>\n\n\n\n<li><strong>Short-term service contracts:<\/strong> It might not apply to one-off contracts for a single event or short-term service that isn\u2019t ongoing.<\/li>\n\n\n\n<li><strong>Transfers outside the UK:<\/strong> Transfer of undertakings protection of employment regulations apply only to employees who ordinarily work in the UK at the time of the transfer.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Planning for a staff transfer<\/h2>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Effective planning is critical to ensure compliance with the Transfer of Undertakings (Protection of Employment) Regulations. The following steps outline the key stages employers should follow:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">1. Decide the transfer date<\/h3>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Establish a clear transfer date at the outset. This will form the foundation for all planning, communication and compliance timelines.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">2. Gather and provide employee liability information (ELI)<\/h3>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">At least 28 days before the transfer, the outgoing employer must provide the incoming employer with Employee Liability Information, including:<\/p>\n\n\n\n<ul class=\"wp-block-list has-paragraph-2-m-font-size\">\n<li>The identity and age of each employee.<\/li>\n\n\n\n<li>Employment terms and conditions.<\/li>\n\n\n\n<li>Details of any disciplinary or grievance actions within the last two years.<\/li>\n\n\n\n<li>Any current or potential legal claims.<\/li>\n\n\n\n<li>Relevant collective agreements.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">3. Communication should be clear and consistent to minimise uncertainty and maintain engagement.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">5. Prepare transfer documentation<\/h3>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Draft and issue formal transfer letters confirming the details of the transfer, the effective date, and any changes or assurances regarding employment terms.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">6. All entitlements must be transferred to the new employer.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">After a transfer<\/h2>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Post-transfer, the new employer inherits the employees\u2019 existing contracts and obligations.&nbsp;<\/p>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">Key responsibilities include:<\/p>\n\n\n\n<ul class=\"wp-block-list has-paragraph-2-m-font-size\">\n<li>Honouring all contractual terms and benefits.<\/li>\n\n\n\n<li>Managing ongoing grievances or disciplinary processes that began before the transfer.<\/li>\n\n\n\n<li>Communicating any future organisational changes clearly and lawfully.<\/li>\n\n\n\n<li>Supporting employee integration into the new business culture.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Changing a contract after TUPE<\/h2>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">One of the most common challenges post-transfer is adapting inherited contracts to align with the new employer\u2019s policies or operational needs. TUPE generally prohibits changing an employee\u2019s contract if the sole or principal reason is the transfer itself.<\/p>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">However, changes may be lawful if they are:<\/p>\n\n\n\n<ul class=\"wp-block-list has-paragraph-2-m-font-size\">\n<li><strong>For an economic, technical or organisational (ETO) reason:<\/strong><strong><br><\/strong>For example, restructuring roles to improve efficiency or responding to financial pressures.<\/li>\n\n\n\n<li><strong>Agreed by both parties:<\/strong><strong><br><\/strong>If an employee consents to a change that benefits them or is not connected to the transfer.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">What happens if an employer is insolvent?<\/h2>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">TUPE will no longer apply if the business has ceased trading and its assets are being liquidated prior to the transfer date, as there\u2019s no longer an undertaking to transfer.<\/p>\n\n\n\n<p class=\"has-paragraph-2-m-font-size\">However, where the company is in administration and the business continues trading, TUPE can still apply.
